Dear ____,

With reference to our meeting and subsequent discussions, we are pleased to offer you this contract for field activities w.e.f. and valid st till .

The terms and conditions of this contract are as follows:

1. You will conduct field level activities as per Annexure 1 in the area allotted to you as per Annexure 4.

2. You will establish a regional centre at Deoghar in accordance with Annexure 2.

3. The regional centre working hours will be from 9.00 am to 6.00 p.m. with one hour lunch break (1.00 p.m. to 2.00 p.m.), Monday to Saturday. The list of holidays will be provided by Janani, which will be followed by the regional centre.

4. You will stock the products and other materials at the regional center to be distributed as per the guidelines rovided by Janani from time to time.

5. You will maintain a minimum level of stocks of all items at the regional centre as per Annexure 3.

6. You will have to invest for purchasing products, equipments and gadgets as and when specified by Janani.

7. The Field Executive (FE) will represent Janani at the regional centre established by you.

8. Janani will provide all the reporting and record keeping formats on floppy with a hard copy of the same, for your reference.

9. You or any person authorised by you should attend all the meetings at the regional centre.

10. Fees collected from the networked Titli Centres (TCs) at regional centre and in the field will be paid through demand draft (DD) in favour of Janani and payable at Patna.

11. You will provide an accidental insurance policy (details of policy will be provided by Janani) of worth Rs. 1,00,000/- (Rs. One lakh) only to each Area Inspector and the payment made in this head will be reimbursed by Janani, after production of original receipts/bills.

12. Janani reserves the right to back check all the field level activities.

13. Janani reserves the right to make deduction unilaterally in case of false reporting.

14. Responsibilities of the Regional Centre:
I All reports (hard copy & floppy) and bills should be submitted to the FE.
II The regional centre will be solely responsible for monitoring of the Titli Centres, monitoring of Franchisee Surya Clinics and meeting the total sale targets as per Annexure 5 of both clinical and non-clinical products (TCs, FSCs and shops).
III The certificate and cash receipt of yearly membership fees should be given to the RHPs and WHPs at the time of payment.
IV You will hand- over the IEC kit to all the Titli Centres (TCs) at the time of monitoring. The feedback form for the IEC kit has to be authorised by the RHP or the woman counterpart and submitted to the FE along with the monitoring report.
V You will update, consolidate and maintain all the data of sales, TCs, FSCs and retail outlets on computer (in the format provided by Janani), on a weekly basis. If data is not being updated regularly, it will be considered as late reporting.
VI You will hand over all the weekly reports (hard copy & floppy) of a particular week to the FE latest by Friday at 10 am of the next week and email the same to Janani office.
VII You will make a presentation of the entire field level activities on a monthly basis to the management at Janani office at 10.30 a.m. on 1st Friday of every month. If there is any change in date it will be intimated to
you.
VIII You will bring all the bills pertaining to the previous month for submission at the time of monthly meeting conducted at Janani's office. In case of the meeting being postponed or cancelled, you are to submit the
st bills to the FE at 10.00 a.m. on 1 Friday of next month.
IX By 26th of each month the movement plan (Tour Plan) of each AI for the following month should be handed over to the FE.
X You will inform Janani office through FE in writing in case of recruitment/ replacement of any new AI.
XI If you recruit any black- listed AI of any other RC; your contract will be terminated with immediate effect.

15. Deduction clauses:
I For any false reporting or improper functioning deductions will be made as mentioned below:
II For any late report submitted to the FE, double of the total amount towards timely reporting will be deducted.
III If the Field Executive receives late reports more than three times in a given quarter, your contract will be terminated with immediate effect.
IV In case any false reporting in the monitoring and sales made by your AI, 100% amount (basic + incentive) for that particular week of that AI will be deducted. If an AI submits three false reports, he will have to be replaced with immediate effect. Information of this deduction will be provided to you within 6 weeks of the work undertaken assuming the reports are submitted on time.

VI If any material supplied by Janani for redistribution is found in damaged condition in your warehouse, the invoice value of damaged goods will be deducted from the bills. If the material, sent by Janani is received in damaged condition, the same should be mentioned in the goods receipt note. Physical checking of the goods received should be conducted and discrepancies if any are to be intimated in writing within a week of receiving the goods.
VII There will be a periodical internal audit of all the materials supplied by Janani. You need to update and maintain relevant documents as per the written advise from Janani.

16. Payments are to be made in the following manner:
I Field activities as per Annexure 6.
II RC for office and incentive as per Annexure 7.
III You will be reimbursed for any purchase approved in writing by the authorised person (FE or above in hierarchy) from Janani for field level activities on production of original bills.
IV The payment for the field activities will be made after the back check is completed.

17. Janani is in no way responsible for any dispute between you and all human resources deployed by you for successful running of the regional centre.

18. Janani is also in no way responsible for any damage to the property hardware or human resources deployed by you.

19. Janani reserves all the rights to change the area of operation allotted to you as and when deem it so.

20. Janani reserves all the right to change or modify or fix the targets for specified area allotted to you without giving any prior notice or assigning any reason.

21. Janani reserves all the right to withdraw or modify the existing payment structures without giving any prior notice or assigning any reason.

22. Janani reserves the right to suspend any activity of the RC at any point of time. In case of any malpractice found, your contract will be terminated with immediate effect.

23. That you will be required to keep all correspondence and other information or material given to you regarding our work as confidential and not divulge to any person or firm or company such information orcorrespondence.

24. That you shall not use any information regarding the activities of Janani without its prior written consent.

25. Either party may terminate this contract by giving one month's notice.

26. This contract is valid till .

27. That at the time of termination of this contract you shall return all the materials (papers, documents, samples, literature etc.) which belong to Janani and which may be in your possession at that time.

28. That in case of any dispute the matter will be resolved by arbitration under the Arbitration Act.

29. That all disputes arising out of this contract shall be settled at Patna and only Patna Court shall have jurisdiction and no other Court shall have jurisdiction.
