Deed of agreement This deed of agreement made on the at Patna between M/S _____ represented by Shri ____ Chief Executive (O. & M.) having its registered head office at _____. Here-in -after called the first party. And Janani, a Society registered under the Indian Societies Registration Act, 1960 dealing in the Social Marketing of Reproductive Health Care having its office at Reshmi Complex, P&T Colony, Kidwaipuri, Patna – 800001 represented by its Programme Director, Shri Arisingh Dutt, here- in- after called as the second party. Where as the second party is in need of security guard and the first party is in the said business and has approached the second party and after negotiations all agreements has reached between the two parties on the following terms: 1. That the Job done by the first party will be purely on contract basis on a payment of bills raised by the first party. 2. The first party, while raising the bill, shall abide by the law laid down under the minimum wages Act, 1948, its Bihar amendment and rates of wages fixed by the Government from time to time and the second party will pay accordingly to the first party. 3. The persons deployed by the first party by virtue of this agreement will be taken to be employee of the first party and working on the behalf of the first party for the second party. 4. The second party will not be held responsible for any kind of dispute between the first party and the person deployed by it to cater to the need of the second party by virtue of this agreement. 5. That the first party will be responsible and will act upon any dispute or action arising under the labour laws or any law that may be applicable, any notice or any proceeding initiated against the second party covering this agreement will be treated to be on the first party. 6. That the first party under takes on information from the second party to attend to all notices or any proceeding initiated or any action taken by the authorities of any kind i.e. the labour, police etc. All such orders will be deemed to have been passed upon the first party and the first party will be liable for the same. 7. That the first party will be liable for paying its employees i.e. the persons deployed by it to cater the needs of the second party by virtue of this agreement minimum wages, provident fund (if applicable) etc. If any notice or proceeding is initiated against the second party covering this agreement it will be treated to that on the first party and the first party undertakes to attend to it and any action taken by the authorities will be deemed to have been passed against the first party and the first party will be liable for the same. 8. That the first party will provide to all the personnel on duty by virtue of this agreement all accessories necessary and adequate in conducting their duty. 9. That the person deployed by the first party for the second party by virtue of this agreement are found absent from duty for more than 30 minutes at any point of time complain this agreement will be deemed to be cancelled and all payments due to the first party will be for-feited. 10. That the first party will be held responsible for any kind of damages, theft etc. occurring due to their negligence and non performance of the duty by person deployed by the first party by virtue of this agreement and compensate the same to the second party. 11. That the first party will submit his bill @ Rs.2, 300/= (Rs. Two thousand three hundred only) inclusive all applicable taxes. of each guard for each month of his deployed security guard for the payment and the same will be paid by the second party by way of cheque or draft payable to the bank specified by the first party. 12. That all dispute arising out of this agreement will be settled by process of arbitration under the prevalent arbitration laws and rules framed under it. 13. That dispute will be settled within the jurisdiction of Patna courts only. 14. In the case of security guard supplied by the first party does not report for duty the first party will provide a replacement for the day/days the worker is absent. 15. The period of this agreement will be from to .and it will be treated as cancelled and not workable after the specified period in this agreement i.e. after .
